These Terms and Conditions (“Terms”) govern your access to and use of the Cnvrse website, plugin, and related services (collectively, the “Service”) operated by Cnvrse, a product of Wayruro Media (“we,” “us,” or “our”). By purchasing, installing, or using Cnvrse, you agree to these Terms in full.

Definitions
- “Plugin” refers to the Cnvrse WordPress plugin, including all updates and documentation.
- “License” refers to the right to install and use the Plugin on a specified number of WordPress sites.
- “Customer” refers to any individual or entity that purchases a License.
- “End User” refers to any visitor who interacts with the chat widget on a Customer’s website.
License and Usage
License Grant
Upon purchase, we grant you a non-exclusive, non-transferable license to install and use the Plugin on the number of WordPress sites specified by your chosen plan. The number of permitted active installations is determined by the plan you select at checkout and displayed on our pricing page.
License Restrictions
You may not redistribute, resell, sublicense, or share the Plugin or your license key with any third party. You may not modify, reverse-engineer, or create derivative works based on the Plugin except as permitted by applicable open-source licenses for included third-party components.
Updates and Support
Each license includes one year of plugin updates and priority support from the date of purchase. After one year, you may manually renew your support and updates subscription. Renewal is not automatic and no charges will be made without your explicit action. The Plugin will continue to function after your support period expires, but you will not receive new updates or priority support until you renew.
Intellectual Property
All intellectual property rights in the Plugin, website, documentation, and branding remain the exclusive property of Cnvrse and Wayruro Media. Your license grants usage rights only, not ownership. You may not use the Cnvrse name, logo, or trademarks without our prior written consent.
Payments and Refunds
Pricing
All prices are listed in US dollars and are subject to change. Price changes do not affect existing licenses. Applicable taxes may be added at checkout depending on your jurisdiction.
Refund Policy
We offer a 14-day refund policy from the date of purchase. If Cnvrse does not work as described and our support team cannot resolve your issue, you are entitled to a full refund. Refund requests must be submitted through our contact page. We reserve the right to deny refund requests that show evidence of abuse or bad faith.
Data and Privacy
Cnvrse stores all chat conversation data in your WordPress database on your own server. We do not collect, transmit, or store any chat messages, visitor information, or personal data on our servers.
When you connect Cnvrse to third-party messaging services (Telegram, Slack, Discord, or WhatsApp Business), chat messages are transmitted through those platforms according to their respective privacy policies and terms of service. You are responsible for reviewing and complying with the terms of any third-party service you connect.

Your Responsibilities
- Maintain the security of your WordPress installation, server environment, and any API tokens or credentials used by Cnvrse.
- Ensure that your use of the chat widget complies with applicable data protection laws, including GDPR, CCPA, and any local regulations in your jurisdiction.
- Accept responsibility for the content of conversations conducted through Cnvrse on your website.
- Refrain from using Cnvrse for any unlawful purpose or in any way that could damage, disable, or impair the Service.
Warranties and Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that the Plugin will be uninterrupted, error-free, or compatible with every WordPress configuration, theme, or third-party plugin.
We make reasonable efforts to ensure compatibility with current versions of WordPress and WooCommerce. However, we cannot guarantee compatibility with custom server environments, modified WordPress installations, or third-party plugins that may conflict with Cnvrse.
Limitation of Liability
To the fullest extent permitted by law, our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid for your Cnvrse license in the twelve months preceding the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, or business opportunities, regardless of whether we were advised of the possibility of such damages.
Termination
We reserve the right to revoke your license if you violate these Terms. Upon termination, you must remove the Plugin from all WordPress installations. Any chat data stored in your WordPress database remains your property and is not affected by license termination. Termination does not entitle you to a refund unless otherwise required by law.
You may stop using the Service at any time by deactivating and deleting the Plugin from your WordPress site.
Dispute Resolution
If a dispute arises under these Terms, both parties agree to first attempt to resolve it informally by contacting us through our contact page. If the dispute cannot be resolved informally within 30 days, either party may pursue legal remedies as described in the Governing Law section below.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any legal proceedings arising from these Terms shall be brought exclusively in the state or federal courts located in Orange County, Florida.
General Provisions
Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cnvrse regarding the Service and supersede all prior agreements, understandings, and communications.
Changes to These Terms
We may update these Terms from time to time. When we make significant changes, we will update the “Last updated” date at the top of this page. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
